Terms of Service

These Terms of Service ("Terms") govern your use of the SabiBooks platform and services provided by SabiBooks Technology Ltd ("SabiBooks", "we", "our", "us"). By creating an account or using SabiBooks, you agree to these Terms.
1. Eligibility
To use SabiBooks, you must:
- Be at least 18 years of age
- Be a registered Nigerian business, sole proprietor, or authorized representative of a business
- Have a valid Nigerian phone number (+234) for authentication
- Have the legal capacity to enter into binding agreements
2. Account and Authentication
- Accounts are created using your Nigerian phone number as the primary identifier
- Authentication is performed via One-Time Password (OTP) sent to your phone -- SabiBooks does not use passwords
- You are responsible for maintaining the security of your phone number and SIM card
- You must notify us immediately if you suspect unauthorized access to your account
- One business account per phone number. Staff members are invited by business owners with assigned roles
3. Subscription Tiers and Pricing
SabiBooks offers the following subscription plans:
- Free -- 1 user, basic inventory and sales tracking, limited features
- Starter -- N2,500/month, up to 3 users, full inventory and sales management, customer credit tracking
- Pro -- N7,500/month, unlimited users, POS integration, advanced analytics, priority support
Prices are in Nigerian Naira (NGN) and are subject to change with 30 days advance notice. Feature limits and inclusions for each plan are detailed on our pricing page.
4. Billing and Payment
- Paid subscriptions are billed monthly via Paystack using your chosen payment method (card, bank transfer, or USSD)
- Subscriptions auto-renew at the end of each billing period unless cancelled
- If payment fails, you have a 7-day grace period to update your payment method before your account is downgraded to the Free plan
- No refunds for partial months. You may cancel at any time and continue using your plan until the end of the billing period
- All prices are inclusive of applicable taxes unless otherwise stated
5. Data Ownership
- Your business data (products, sales records, customer information, expenses) belongs to you
- SabiBooks processes your data on your behalf to provide the platform services
- You grant SabiBooks a limited, non-exclusive license to process your data solely for the purpose of operating and improving the service
- You may export your data at any time through the platform's export features
- Upon account termination, your data remains available for export for 30 days (see Section 11)
6. Acceptable Use
You agree not to use SabiBooks to:
- Conduct illegal activities or facilitate fraudulent transactions
- Store or process data related to prohibited goods or services under Nigerian law
- Maintain intentionally inaccurate business records
- Attempt to access other users' data or circumvent multi-tenancy isolation
- Reverse-engineer, decompile, or attempt to extract the source code of the platform
- Use automated tools (bots, scrapers) to access the platform without written permission
- Interfere with the platform's infrastructure, security, or availability
Violation of these terms may result in immediate account suspension or termination.
7. Service Availability
- SabiBooks is provided on a best-effort basis. We target high availability but do not guarantee 100% uptime
- SabiBooks is designed as an offline-first application. Core features (inventory, sales recording, expense tracking) work without an internet connection, with data syncing when connectivity is restored
- We may perform scheduled maintenance with at least 24 hours advance notice via in-app notification
- We are not responsible for service disruptions caused by factors outside our control, including network outages, power failures ("NEPA"), or device issues
8. POS Integration
- SabiBooks integrates with third-party POS terminal providers (Moniepoint, Opay, Palmpay)
- POS transactions are subject to the terms and fees of the respective POS provider
- SabiBooks facilitates payment initiation and reconciliation but is not responsible for POS terminal hardware, transaction processing, or settlement by the POS provider
- Transaction disputes should be directed to the relevant POS provider, though SabiBooks will assist where possible
9. Limitation of Liability
- SabiBooks is provided "as is" and "as available" without warranties of any kind, express or implied
- Our maximum aggregate liability for any claims arising from your use of SabiBooks is limited to the total fees you have paid in the 12 months preceding the claim
- We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption
- We are not liable for the accuracy of data you enter into the platform, including inventory counts, sales records, or customer information
- SabiBooks is not a financial institution, tax advisor, or accounting firm. The platform is a record-keeping tool, and you remain responsible for your business's compliance with tax (FIRS), regulatory (CAC, SMEDAN), and accounting requirements
10. Intellectual Property
- SabiBooks owns all rights, title, and interest in the platform, including software, design, trademarks, and documentation
- You retain ownership of all business data you create or upload to the platform
- You may not use the SabiBooks name, logo, or brand materials without prior written consent
- Feedback and suggestions you provide may be used to improve the platform without obligation or compensation
11. Termination
- You may terminate your account at any time through the platform settings or by contacting support
- SabiBooks may terminate or suspend your account for violation of these Terms, with notice where practicable
- Upon termination, your data remains available for export for 30 days. After this period, data is deleted in accordance with our Privacy Policy and applicable retention requirements
- Termination does not release you from any obligations incurred before the termination date, including unpaid fees
12. White-Label and Partner Services
SabiBooks may be offered through partner organizations (banks, payment providers, government agencies) under a white-label arrangement. If you access SabiBooks through a partner:
- These Terms still apply to your use of the platform
- Additional terms from the partner may also apply and will be presented to you
- Your data may be shared with the partner to the extent disclosed at registration
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
14. Dispute Resolution
- Mediation first -- Any dispute arising from these Terms shall first be referred to mediation under the Lagos Multi-Door Courthouse framework
- Litigation -- If mediation fails within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the courts in Lagos State, Nigeria
- Informal resolution -- Before initiating formal proceedings, you agree to contact us at [email protected] to attempt informal resolution
15. Modifications to These Terms
We may update these Terms from time to time. Material changes will be communicated via SMS, WhatsApp, or in-app notification at least 30 days before they take effect. Continued use of SabiBooks after the effective date constitutes acceptance of the updated Terms. If you disagree with the changes, you may terminate your account before the effective date.
